Mila User Agreement

Welcome to Mila ("we", "us", "our"), the premier European manor floral handcraft guide application dedicated to providing you with exquisite floral arrangement tutorials and a vibrant community for sharing your floral creations. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE MILA APPLICATION (THE "SERVICE"), YOU EXPRESSLY AGREE TO BE BOUND BY THIS USER AGREEMENT (THE "AGREEMENT"), OUR PRIVACY POLICY, AND OUR USER GENERATED CONTENT (UGC) COMMUNITY GUIDELINES. YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE TERMS HEREIN, INCLUDING OUR ZERO-TOLERANCE POLICY FOR INAPPROPRIATE CONTENT AND VIOLATING USERS. IF YOU DO NOT AGREE TO ALL TERMS OF THIS AGREEMENT, YOU MUST NOT USE THE SERVICE.

1. Service Overview

Mila offers a comprehensive platform for European manor-style floral craftsmanship, with the following core features:

We reserve the right to modify, update, or enhance any part of the Service at our discretion to improve your floral craftsmanship experience, with or without prior notice.

2. Account Rules

2.1 Account Creation & Consent

To access personalized floral content, share creations, and use community features, you may create a Mila account by providing accurate and complete information (including a valid email address). CREATION OF AN ACCOUNT CONSTITUTES YOUR EXPRESS CONSENT TO THIS AGREEMENT, OUR PRIVACY POLICY, AND OUR UGC COMMUNITY GUIDELINES, INCLUDING OUR ZERO-TOLERANCE POLICY FOR INAPPROPRIATE, HARMFUL, OR VIOLATING CONTENT AND USER BEHAVIOR. You are solely responsible for maintaining the confidentiality of your account credentials (username and password).

2.2 Account Responsibility

You are responsible for all activities conducted under your Mila account. Immediately notify us at Mila@gmail.com if you suspect unauthorized use of your account, security breaches, or any suspicious activity related to your account.

2.3 Account Eligibility

You must be at least 13 years of age to create an account and use Mila. If you are under 18 years of age, you must obtain parental or legal guardian consent before using the Service and providing any personal information. PARENTS/GUARDIANS OF MINOR USERS ACKNOWLEDGE AND CONSENT TO THE TERMS OF THIS AGREEMENT, INCLUDING OUR UGC CONTENT POLICIES, ON BEHALF OF THE MINOR.

2.4 Prohibited Account Activities

You may not: (a) share your account with third parties; (b) create multiple accounts to bypass usage limits or restrictions; (c) register an account with false, misleading, or fraudulent information; (d) access or attempt to access another user's account without explicit permission; (e) sell, transfer, or assign your Mila account to any third party; (f) use your account to upload, share, or distribute any inappropriate, harmful, illegal, or violating content (as defined in Section 3) or engage in any behavior that violates our zero-tolerance policy for bad actors.

3. Usage Standards & UGC Zero-Tolerance Policy

3.1 You agree to use Mila only for lawful purposes and in compliance with all applicable laws, regulations, and this Agreement. The Service is intended solely for personal, non-commercial use to learn and share European manor-style floral craftsmanship. MILA MAINTAINS A STRICT ZERO-TOLERANCE POLICY FOR ANY INAPPROPRIATE, HARMFUL, OFFENSIVE, ILLEGAL, OR VIOLATING USER GENERATED CONTENT (UGC) AND USER BEHAVIOR. WE WILL NOT TOLERATE ANY CONTENT OR BEHAVIOR THAT HARMS, HARASSES, DISCRIMINATES AGAINST, OR ENDANGERS OTHER USERS, OR VIOLATES APPLICABLE LAWS OR THIS AGREEMENT.

3.2 Prohibited uses include, but are not limited to:

3.3 WE RESERVE THE RIGHT TO ACTIVELY MONITOR, REVIEW, AND MODERATE ALL USER GENERATED CONTENT (INCLUDING UPLOADED PHOTOS, COMMENTS, LIKES, AND SHARED MATERIALS) IN REAL-TIME OR ON A REGULAR BASIS TO ENSURE COMPLIANCE WITH THIS ZERO-TOLERANCE POLICY. WE EMPLOY BOTH AUTOMATED CONTENT MODERATION TOOLS AND HUMAN REVIEWERS TO IDENTIFY AND REMOVE INAPPROPRIATE CONTENT PROMPTLY. We reserve the right to monitor usage of the Service and take appropriate action (including temporary suspension or permanent termination of your account, removal of offending content, and reporting of illegal activity to relevant authorities) for violations of these standards. We may remove any content that violates this Agreement at our sole discretion, without prior notice. REPEAT OFFENDERS OR USERS WHO ENGAGE IN SERIOUS VIOLATIONS OF OUR UGC POLICIES WILL HAVE THEIR ACCOUNTS PERMANENTLY TERMINATED, AND WE MAY REFUSE TO PROVIDE SERVICES TO SUCH USERS IN THE FUTURE.

4. Content Rights and Responsibilities

4.1 Your Content (UGC)

You retain ownership of all photos, text, and other content you upload, post, or share through Mila (collectively "User Content"). By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute your User Content solely to provide, maintain, and improve the Mila Service (including displaying your floral creations in the community). YOU WARRANT THAT ALL USER CONTENT YOU SUBMIT COMPLIES WITH OUR ZERO-TOLERANCE POLICY FOR INAPPROPRIATE CONTENT, AND YOU INDEMNIFY MILA AGAINST ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM YOUR VIOLATION OF THIS WARRANTY.

4.2 User Content Responsibility

You represent and warrant that: (a) you have all necessary rights to upload, share, and license your User Content; (b) your User Content does not infringe any intellectual property rights, privacy rights, publicity rights, or other legal rights of third parties; (c) you have obtained all necessary consents from individuals featured in your photos (including floral bouquet sharing photos); (d) your User Content complies with all applicable laws and this Agreement; (e) your User Content does not contain any inappropriate, harmful, offensive, illegal, or violating material, and does not violate our zero-tolerance policy for bad content or behavior.

4.3 Mila Content

All floral arrangement tutorials, style cards, text, graphics, images, and other content provided by Mila (collectively "Mila Content") are protected by copyright, trademark, and other intellectual property laws. You may view, download, and print Mila Content for personal, non-commercial use only. You may not reproduce, distribute, modify, sell, or create derivative works from Mila Content without our express written permission.

4.4 Content Moderation & Enforcement

WE MAINTAIN A DEDICATED CONTENT MODERATION TEAM RESPONSIBLE FOR REVIEWING USER GENERATED CONTENT. WE USE THE FOLLOWING MEASURES TO ENSURE COMPLIANCE WITH OUR UGC POLICIES: (1) PRE-UPLOAD SCREENING OF PHOTOS USING AI-BASED CONTENT DETECTION TOOLS TO IDENTIFY INAPPROPRIATE MATERIAL; (2) POST-UPLOAD HUMAN REVIEW OF FLAGGED CONTENT; (3) A USER REPORTING MECHANISM THAT ALLOWS USERS TO FLAG INAPPROPRIATE CONTENT FOR IMMEDIATE REVIEW; (4) REGULAR AUDITS OF COMMUNITY CONTENT TO REMOVE VIOLATING MATERIAL; (5) SUSPENSION OR TERMINATION OF ACCOUNTS THAT REPEATEDLY VIOLATE OUR UGC POLICIES. We may, but are not obligated to, review, monitor, or moderate User Content. We reserve the right to remove any User Content that violates this Agreement, applicable law, or our community guidelines at any time, without prior notice and at our sole discretion. IF WE IDENTIFY VIOLATING CONTENT, WE WILL REMOVE IT WITHIN 24 HOURS OF DETECTION AND MAY TAKE ACTION AGAINST THE UPLOADING USER, INCLUDING ISSUING A WARNING, TEMPORARILY SUSPENDING ACCOUNT PRIVILEGES, OR PERMANENTLY TERMINATING THE ACCOUNT.

5. Payment Terms

5.1 Paid Features

Some premium features of Mila (including exclusive floral arrangement tutorials, advanced style cards, and ad-free experience) may require payment ("Paid Services"). All prices are displayed in the applicable currency and may include taxes as required by local law. ACCESS TO PAID FEATURES MAY BE REVOKED IF A USER VIOLATES OUR UGC ZERO-TOLERANCE POLICY, WITH NO REFUND OF PAYMENTS MADE.

5.2 Payment Processing

Payments for Paid Services are processed through third-party payment providers (e.g., Apple App Store, Google Play Store). By purchasing Paid Services, you agree to the terms and conditions of these third-party providers. We do not store your payment information (including credit card details) on our servers.

5.3 Refunds

Refund policies are governed by the terms and conditions of the applicable app store or payment provider, except where required by applicable law. We do not offer refunds for digital content (including premium floral tutorials) that has been accessed or used. NO REFUNDS WILL BE PROVIDED FOR ACCOUNTS TERMINATED DUE TO VIOLATIONS OF OUR UGC ZERO-TOLERANCE POLICY.

5.4 Price Changes

We may change the prices of Paid Services at any time. We will provide notice of material price changes and will not apply new prices to existing subscriptions until the renewal date.

5.5 Subscriptions

If you purchase a subscription to Paid Services, it will automatically renew unless canceled at least 24 hours before the end of the current subscription period. You may manage your subscription settings (including cancellation) through your app store account.

6. Service Changes and Termination

6.1 Service Modifications

We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice, including adding or removing floral style cards, tutorials, or community features. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

6.2 Account Termination by User

You may terminate your Mila account at any time by contacting us at Mila@gmail.com. Upon termination, you will lose access to your account, saved content (including bookmarked floral tutorials), and any Paid Services you have purchased (except as required by law).

6.3 Account Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, if you violate this Agreement, engage in fraudulent or abusive activity, or pose a risk to other users or Mila's business interests. TERMINATION FOR VIOLATION OF OUR UGC ZERO-TOLERANCE POLICY (INCLUDING UPLOADING INAPPROPRIATE CONTENT, HARASSING OTHER USERS, OR ENGAGING IN ILLEGAL BEHAVIOR) WILL BE PERMANENT, AND WE MAY REPORT SERIOUS VIOLATIONS TO APPLICABLE AUTHORITIES.

6.4 Effect of Termination

Upon termination of your account or the Service, the provisions of this Agreement that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and dispute resolution) shall remain in full force and effect.

7. Disclaimer of Liability

7.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 WE DO NOT WARRANT THAT: (a) THE SERVICE WILL MEET YOUR REQUIREMENTS OR PROVIDE ACCURATE FLORAL ARRANGEMENT INSTRUCTIONS; (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE QUALITY OF ANY CONTENT, TUTORIALS, OR SERVICES OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; (d) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

7.3 WE SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM YOUR USE OF THE FLORAL ARRANGEMENT TUTORIALS OR CREATIONS, INCLUDING BUT NOT LIMITED TO MATERIALS COSTS, UNSATISFACTORY FLORAL RESULTS, OR PERSONAL INJURY ARISING FROM FLORAL CRAFTSMANSHIP.

7.4 IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.5 OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR $50 USD IF YOU HAVE NOT PAID ANY FEES FOR THE SERVICE.

8. Dispute Resolution

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

8.2 Negotiation

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Service shall first be resolved through good-faith negotiation between you and us. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue the remedies set forth below.

8.3 Binding Arbitration

Unless prohibited by law, any dispute not resolved through negotiation shall be submitted to binding arbitration in San Francisco, California, conducted in English in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.

8.4 Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

8.5 Equitable Relief

Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights, trade secrets, or to prevent irreparable harm to the Service. THIS INCLUDES SEEKING INJUNCTIVE RELIEF TO STOP THE UPLOAD OR DISTRIBUTION OF INAPPROPRIATE USER GENERATED CONTENT THAT VIOLATES OUR ZERO-TOLERANCE POLICY.

9. Agreement Updates

9.1 We may update this Agreement from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes to this Agreement, we will notify you by: (a) posting the updated Agreement in the Mila app with a prominent notice; (b) sending an email to the address associated with your account; or (c) displaying a pop-up notice in the app upon launch. Material changes to our UGC zero-tolerance policy will be highlighted and will require your explicit re-consent before you may continue using the Service.

9.2 The updated Agreement will become effective 30 days after we provide notice of the changes, unless required otherwise by law. Your continued use of the Service after the effective date of the updated Agreement constitutes your acceptance of the changes.

9.3 If you do not agree to the updated Agreement, you must immediately stop using the Service and terminate your account. We will retain the prior version of this Agreement in our records for at least 3 years after any material changes and make it available to you upon request.
